SECTION 6A – ORDER APPROVAL POLICY
After completing your order and submitting payment by credit card, your order will be transferred to ToolPoint LTD’s internal review and approval process.
Orders are not automatically approved upon payment.
Once your order is reviewed and approved by our sales team, you will receive a confirmation email indicating that the order has been accepted and is being processed.
If, for any reason, the order cannot be approved, you will be notified and a full refund will be issued.
ToolPoint LTD reserves the right to approve or decline any order at its sole discretion.
By completing a purchase on this website, you acknowledge and agree that payment submission does not constitute final acceptance of the order until it has been reviewed and approved by ToolPoint LTD.

אם לבקשתנו אתה שולח הגשות מסוימות (לדוגמה, השתתפות בתחרות) או ללא בקשתנו אתה שולח רעיונות יצירתיים, הצעות, תכניות או חומרים אחרים, בין אם באופן מקוון, בדוא"ל, בדואר או בכל דרך אחרת (ביחד: "תגובות"), אתה מסכים שנוכל בכל עת, ללא הגבלה, לערוך, להעתיק, לפרסם, להפיץ, לתרגם ולהשתמש בכל מדיה אחרת בכל תגובה ששלחת אלינו. איננו מחויבים (1) לשמור תגובות בסודיות; (2) לשלם פיצוי עבור תגובות; או (3) להשיב לכל תגובה.
אנו רשאים, אך לא מחויבים, לעקוב, לערוך או להסיר תוכן אשר לפי שיקול דעתנו הבלעדי אינו חוקי, פוגעני, מאיים, משמיץ, פורנוגרפי, מגונה או בלתי ראוי, או מפר זכויות קניין רוחני של צד כלשהו או תנאי שימוש אלה.
אתה מסכים שהתגובות שלך לא יפרו כל זכות של צד שלישי, לרבות זכויות יוצרים, סימנים מסחריים, פרטיות, אישיות או זכות קניינית אחרת. אתה מסכים עוד שהתגובות שלך לא יכילו חומר משמיץ או בלתי חוקי, פוגעני או מגונה, או כל וירוס מחשב או תוכנה זדונית אחרת העלולה להשפיע בכל דרך שהיא על הפעולה של השירות או כל אתר קשור. אינך רשאי להשתמש בכתובת דוא"ל כוזבת, להתחזות לאדם אחר או להטעות אותנו או צדדים שלישיים לגבי מקורן של תגובות. אתה אחראי בלעדית לתגובות שאתה מוסר ולדיוקן. איננו נושאים באחריות ואיננו מקבלים על עצמנו אחריות לכל תגובה שמפורסמת על־ידי משתמש או צד שלישי.

סעיף 10 – מידע אישי

סעיף 11 – שגיאות, אי־דיוקים והשמטות
מעת לעת ייתכן שיופיע באתר שלנו או בשירות מידע הכולל שגיאות דפוס, אי־דיוקים או השמטות אשר עשויים להתייחס לתיאורי מוצרים, תמחור, מבצעים, הצעות, עלויות משלוח, זמני אספקה וזמינות. אנו שומרים לעצמנו את הזכות לתקן שגיאות, אי־דיוקים או השמטות אלה, ולשנות או לעדכן מידע או לבטל הזמנות אם כל מידע בשירות או באתר קשור כלשהו הוא לא מדויק בכל עת וללא הודעה מוקדמת (גם לאחר שהגשת את ההזמנה).

סעיף 12 – שימושים אסורים
בנוסף לאיסורים אחרים המפורטים בתנאי שימוש אלה, אסור לך להשתמש באתר או בתוכנו: (א) לכל מטרה בלתי חוקית; (ב) לשדל אחרים לבצע או להשתתף במעשים בלתי חוקיים; (ג) להפר כל תקנה, חוק או צו ממשלתי; (ד) לפגוע בזכויות הקניין הרוחני שלנו או של אחרים; (ה) להטריד, לפגוע, להשמיץ או להפלות; (ו) להעלות מידע כוזב או מטעה; (ז) להעלות או לשדר וירוסים או כל סוג אחר של קוד זדוני; (ח) לאסוף או לעקוב אחר מידע אישי של אחרים; (ט) לספם, לדוג, לגרד או לסרוק; (י) לכל מטרה מגונה או לא מוסרית; או (כ) לעקוף או לשבש אמצעי אבטחה של השירות או אתרי אינטרנט קשורים. אנו שומרים לעצמנו את הזכות להפסיק את שימושך בשירות או בכל אתר קשור בגין הפרת שימושים אסורים אלה.

סעיף 13 – כתב ויתור והגבלת אחריות
איננו מתחייבים, מצהירים או מבטיחים כי השימוש שלך בשירות יהיה רציף, בזמן, מאובטח או נטול שגיאות.
איננו מתחייבים שהתוצאות שעשויות להתקבל מהשימוש בשירות יהיו מדויקות או מהימנות.
אתה מסכים כי מעת לעת נוכל להסיר את השירות לתקופות בלתי מוגבלות או לבטל את השירות בכל עת, ללא הודעה לך.
אתה מסכים במפורש כי השימוש שלך בשירות או חוסר היכולת להשתמש בשירות הוא על אחריותך בלבד. השירות וכל המוצרים והשירותים המסופקים לך דרך השירות ניתנים (אלא אם נאמר במפורש אחרת על־ידינו) "כפי שהם" ו"כפי שהם זמינים" לשימושך, ללא כל מצג, אחריות או תנאי מכל סוג שהוא, מפורשים או משתמעים, לרבות אחריות משתמעת לסחירות, התאמה למטרה מסוימת, עמידות, בעלות ואי־הפרה.
בשום מקרה לא תישא ToolPoint LTD או מנהליה, עובדיה, שלוחיה, ספקיה או נותני הרישיון שלה באחריות לכל נזק, הפסד, תביעה או נזק עקיף, מקרי, עונשי, מיוחד או תוצאתי מכל סוג שהוא, לרבות, ללא הגבלה, אובדן רווחים, אובדן הכנסות, אובדן חיסכון, אובדן נתונים, עלויות החלפה או נזקים דומים, בין אם על בסיס חוזה, עוולה (לרבות רשלנות), אחריות מוחלטת או אחרת, הנובעים מהשימוש שלך בשירות או בכל מוצר, או לכל תביעה אחרת הקשורה בכל דרך לשימוש שלך בשירות או בכל מוצר, לרבות, אך לא רק, טעויות או השמטות בכל תוכן, או כל אובדן או נזק מכל סוג שייגרם כתוצאה מהשימוש בשירות או בכל תוכן (או מוצר) שפורסם, הועבר או הועמד לרשותך בדרך אחרת דרך השירות, אף אם הוזהרנו לגבי אפשרותם של נזקים כאלה. במדינות או תחומי שיפוט מסוימים שאינם מתירים החרגה או הגבלה של אחריות לנזקים תוצאתיים או מקריים, אחריותנו תוגבל במידה המרבית המותרת על־פי חוק.

סעיף 14 – שיפוי
אתה מסכים לשפות, להגן ולהחזיק את ToolPoint LTD ואת חברות הבת, השותפים, המנהלים, הסוכנים, הקבלנים, נותני הרישיון, ספקי השירות, קבלני המשנה, הספקים, העובדים והנציגים שלה – חפים מכל תביעה או דרישה, לרבות שכר טרחת עורכי דין סביר, שתוגש על־ידי צד שלישי עקב או כתוצאה מהפרת תנאי שימוש אלה או מהמסמכים שהם מפנים אליהם, או מהפרת כל חוק או זכות של צד שלישי.

סעיף 15 – הפרדה
אם יקבע כי הוראה כלשהי בתנאי שימוש אלה אינה חוקית, בטלה או בלתי ניתנת לאכיפה, הוראה זו תיאכף בכל היקף המותר על־פי חוק, והחלק הבלתי ניתן לאכיפה ייחשב כמנותק מתנאי שימוש אלה; קביעה זו לא תשפיע על תוקפם ואכיפתם של יתר ההוראות.

סעיף 16 – סיום
החובות והחבויות של הצדדים שנוצרו לפני מועד הסיום יישארו בתוקף גם לאחר סיום הסכם זה לכל מטרה שהיא.
תנאי שימוש אלה תקפים אלא אם כן או עד שהם מסתיימים על־ידך או על־ידינו. אתה רשאי לסיים תנאי שימוש אלה בכל עת על־ידי הודעה לנו כי אינך מעוניין עוד להשתמש בשירותים שלנו, או כאשר תחדל להשתמש באתר שלנו.
אם לפי שיקול דעתנו הבלעדי תיכשל או נחשוד כי נכשלת לעמוד באחד מן התנאים או ההוראות, נוכל לסיים הסכם זה בכל עת ללא הודעה ואתה תישא באחריות לכל הסכומים המגיעים עד וכולל מועד הסיום; בנוסף, אנו רשאים למנוע ממך גישה לשירותים שלנו (או לכל חלק מהם).

סעיף 17 – ההסכם כולו
אי־מימוש או אי־אכיפה על־ידינו של כל זכות או הוראה מתנאי שימוש אלה לא ייחשבו כוויתור על זכות או הוראה זו.
תנאי שימוש אלה וכל מדיניות או כללי תפעול שפורסמו על־ידינו באתר זה או בקשר לשירות מהווים את ההסכם המלא והשלם בינך לבין ToolPoint LTD ומחליפים כל הסכמה, תקשורת או הצעה קודמת או מקבילה, בעל־פה או בכתב, בינך לבין ToolPoint LTD (לרבות, אך לא רק, גרסאות קודמות של תנאי שימוש).
כל אי־בהירות בפרשנות תנאי שימוש אלה לא תפורש נגד הצד שניסח אותם.

סעיף 18 – דין חל
תנאי שימוש אלה וכל הסכמים נפרדים שבהם אנו מספקים לך שירותים יישלטו ויפורשו בהתאם לדיני מדינת ישראל.

סעיף 19 – שינויים בתנאי השימוש
באפשרותך לעיין בגרסה העדכנית ביותר של תנאי שימוש אלה בכל עת בעמוד זה.
אנו שומרים לעצמנו את הזכות, לפי שיקול דעתנו הבלעדי, לעדכן, לשנות או להחליף כל חלק מתנאי שימוש אלה על־ידי פרסום עדכונים ושינויים באתר שלנו. באחריותך לבדוק מדי פעם את האתר שלנו לגבי שינויים. המשך השימוש שלך באתר או בשירות לאחר פרסום כל שינוי בתנאי שימוש אלה מהווה קבלה של שינויים אלה.
